Representative Assignments
- Facilitated strategic planning and business planning sessions for a wide variety of companies. Primarily structured as off-site team sessions, intended to build teamwork, assess competition, core competencies, and strategic alternatives, render a final work plan with personal assignments.
- Created and structured a special-purpose “captive finance” subsidiary for a computer distribution, service and maintenance company. This allowed to client to “bundle” any combination of hardware, software, maintenance or other services and profit so that the customer paid a single monthly fee. The client “carried the paper” and, subsequent to the transaction closing. Either held the payment contract , sold it or assigned it to a commercial bank.
- Consult and facilitate strategic plan the with CEO and senior management of real estate development and property management company. Engagement was to help CEO clarify the most appropriate alternatives vis a vis staff and identify opportunities to add new, stronger executives to executives new growth plans.
- Performed several “Organizational Assessments”, which analyze the effectiveness of the current organization structure to determine if it is properly aligned with and staffed for serving the companies’ goals.
- Creation and structuring of acquisition and joint venture between specialized independent financial services company and major regional bank.
- Representation of private investor in negotiations for acquisition of controlling interest in transportation services company.
- Designed, led and facilitated management review and planning sessions for several companies, including a international industry manufacturers’ association.
- One-on-one monthly coaching sessions with CEOs to properly set goals and objectives and review current status and progress against key objectives.
- Representation of consumer products manufacturer in approaching major competitor to initiate and negotiate merger.
- Consulting to packaged foods manufacturer on corporate structure to accommodate family tax and liquidity issues. Follow-up with appraisal and assignment of value to company’s major brand.
- Representation of private investor in reviewing venture capital investment alternatives, acquisition, including transaction structure, negotiation of terms, due diligence.
- Cash flow and liquidity forecast for start-up medical products distribution company. Forecast was designed to anticipate future capital needs, whether bank loans, private equity, or public offering.
